皇佳商業銀行同意購併宏基金控與宏基銀行(TomatoBank)

 

宏基金控與宏基銀行於2015年11月10日宣布簽訂同意皇佳金控購併的確定(最終)協議。根據協議皇佳金控以每股約15元收購宏基金控股東的所有股票或股權,但最終每股實際價格還須依循恊議根據公式計算而定。宏基銀行自2000年成立以來即以服務洛杉磯及橘郡亞美社區為主,現有六間分行。截至2015年9月30日,宏基金控總資產為四億八仠七佰六拾萬,總存款為四億二仠七拾萬, 股東權益為六仟伍拾萬。

 

此項購併將使皇佳商業銀行總資產達約15億,這也是皇佳商業銀行自2008年11月成立以來第四家銀行購併。由於此項購併需獲得主管機關批准及雙方股東的核准,整筆交易預計於2016年第一季完成。屆時,宏基銀行將成為皇佳商業銀行的分行。

皇佳商業金控總裁兼執行長田詒鴻先生表示,二家銀行的成功皆由於提供完善的客戶服務。新加入的分行會增強我們在聖蓋博谷、橘郡及西洛杉磯區的服務網。我相信我們銀行追求的目標會讓蕃茄銀行的客戶完全認同。

 

宏基金控董事長Mr. Roger Lin表示我們很高興和皇佳商業銀行簽訂購併恊議,提供很好的報酬給宏基銀行的股東們。

 

宏基銀行董事長Mr. Peter Bhakta表示由於與較大的銀行合併,一定能夠提供更多的銀行服務及產品給我們宏基銀行的客戶。

 

皇佳商業銀行由FIG Partners, LLC提供咨詢服務,法律顧問是Loren P. Hansen, APC. 宏基金控由Sanli, Pastore & Hil提供咨詢服務,法律顧問是Gary Steven Findley & Associates

 

此項購併尚須等待主管機關的批准及宏基金控股東的核准。某些宏基金控與宏基銀行的股東也是他們的董事及職員,他們已經簽約表示支持這次的購併。
